End-User License Agreement for WareStat Software

1. License Grant
WareStat (“Licensor”) grants you a free, non-exclusive, non-transferable, revocable license to use the WareStat desktop application software (the “Software”) for personal or commercial purposes, subject to the terms of this Agreement.
2. Permitted Use
You may:
- Install and use the Software on any number of computers
- Use the Software for personal or commercial business purposes
- Create backups of your data using the Software’s built-in features
3. Restrictions
You may NOT:
- Reverse engineer, decompile, or disassemble the Software
- Modify, adapt, or create derivative works
- Remove or alter any copyright, trademark, or proprietary notices
- Rent, lease, sublicense, or distribute the Software to third parties
- Use the Software for any illegal or unauthorized purpose
4. Data Storage and Privacy
IMPORTANT: The Software stores all your business data (customers, products, orders, invoices, inventory) locally on your computer using an SQLite database.
- We do NOT collect, access, transmit, or store your data on external servers
- You are solely responsible for backing up your data
- We are NOT responsible for data loss, corruption, or unauthorized access
5. NO WARRANTY – SOFTWARE PROVIDED “AS IS”
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or completeness of Software functionality
- Uninterrupted, error-free, or secure operation
- Freedom from bugs, viruses, or defects
- Compatibility with your system or other software
- Data accuracy, integrity, or preservation
YOU USE THE SOFTWARE ENTIRELY AT YOUR OWN RISK.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:
- Loss of data, business, profits, revenue, or anticipated savings
- Business interruption or downtime
- Corruption or loss of databases or files
- Inaccurate calculations, reports, or invoices
- Errors in inventory management or stock tracking
- Direct, indirect, incidental, consequential, special, or punitive damages
- Any damages arising from use or inability to use the Software
THIS LIMITATION APPLIES EVEN IF:
- Licensor has been advised of the possibility of such damages
- The Software fails to perform its intended functions
- You lose critical business data
IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY EXCEED €1 (ONE EURO).
7. Data Backup Responsibility
YOU ARE SOLELY RESPONSIBLE FOR:
- Creating regular backups of your data using the Software’s backup feature or external methods
- Maintaining backup copies in secure locations
- Testing backup restoration procedures
- Protecting your computer and database files from unauthorized access
WE ARE NOT RESPONSIBLE FOR DATA LOSS DUE TO:
- Hardware failure
- Software bugs or errors
- User error or negligence
- Malware, viruses, or cyberattacks
- File corruption
- Accidental deletion
8. No Support Obligation
We are under no obligation to provide technical support, maintenance, updates, or bug fixes. Any support provided is at our sole discretion and may be discontinued at any time.
9. Updates and Modifications
We may release updates, patches, or new versions of the Software at our discretion. Updates may:
- Change or remove features
- Introduce new bugs or issues
- Require system or hardware changes
You are not obligated to install updates, and we are not responsible for issues arising from updates.
10. Termination
This license is effective until terminated. Your rights terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and delete all copies.
11. Indemnification
You agree to indemnify and hold harmless Licensor from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:
- Your use or misuse of the Software
- Data loss or business losses
- Violation of this Agreement
- Violation of applicable laws or third-party rights
12. Export Compliance
You are responsible for complying with all applicable export and import laws when using the Software.
13. Governing Law and Jurisdiction
This Agreement is governed by the laws of Italy, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of [Your City], Italy.
14. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements or understandings.
16. Acceptance
By installing, copying, or using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms.
